TERMS OF SALES - APPLICABLE IN HONG KONG

1. Software Licenses:-

i. The Single User Licenses allow the first computer to access the Software
ii. Each Additional User License allows one additional computer to access the Software.

2. Payment Terms:-

  i. For Standard Software without Modification
  30% non-refundable deposit upon confirmation of order, 70% balance paid after delivery
ii. For Software with Modification
    30% non-refundable deposit upon confirmation of order, 60% payment upon delivery of software, 10% balance paid 14 working days after completion of order
3. Delivery Schedule:-
One time free delivery. The deposit can be forfeited if customer does not take delivery after the order has been confirmed for 180 days without prior notice.
4. Installation:-
One-time on-site Software Installation onto a harddisk of PC or Server. Customer needs to provide a directory with at least 100MB for Software setup. All third party hardware and software setup and configuration are excluded.
5. User Training:-
  i. Free three (3) seats user training coupons for Single User
ii. One (1) seat user training coupon for additional license
  iii. Training is conducted in HKC's training Centre
  iv. Medium of instruction is Cantonese
6. Report and Order Form Printer Format:-
  i. The software will be accompany with one set of standard reports and order formats.
  Customers can use them free of charge
ii. Training on report and order format setting is included in User Training. Customers are can setup their own printer format by themselves.
   
  iii. If custom-made order formats are required, customer needs to submit one set of order formats with sample data and blank form to HKC for possibility study within the warranty period. Upon mutual acceptance, HKC will setup the order form for the customer within 14 working days from confirmation.
  iv. Extra charge for additional custom-made printer format will be HK$500 per format
7. CD Media and User Manual:-
One CD media containing Setup Program and user manual in electronic file
8. Limited Warranty:-
  i. HKC warrants that the Software will perform substantially in accordance with the accompanying written materials for a period of six (6) months from the date of the Software's initial purchase.
9. After Sales Service
  Customer can select to buy one of the following annual service packs within the warranty period.
a) Bronze Service Pack: hotline support Service
  b) Silver Service Pack: hotline and on-site support service
  c) Gold Service Pack: hotline and on-site support service with regular version upgrade
10. Software Modification:-
  i. The standard features delivered will be listed in HKC's Brochure or as demonstration in the Demo Version. Any features outside the capability of standard features will be considered as Software Modification, which will be charged per manday. User needs to buy the standard package as the basic requirement and Software Modification will quote as separate order.
 
ii. The modification specifications will be mutually agreed and confirmed in written document before HKC start modify the software.
   
  iii. The delivered features in software modification will only include those stated in the written document. If there is any unacceptable points within the specification of the modification, user can send notice to HKC within 14 working days to request remedy. If no unacceptable points are received within 14 working days, the order for software modification will be determined as satisfactory completed.
  iv. All amendments to software modification shall be in writing and signed by duly authorized representatives of both parties.
  v. All additional requirement or Modification outside this agreement may be charged in daily basis. The delivery and payment schedule will be negotiated separately and subject to the confirmation of both parties.
11. Hardware & Software Requirement:-
  i. Single User: Pentium PC with 64MB Ram running Traditional Chinese/English Win95/98/ME/2000/XP
 
ii. Network User: Novell or MS NT/2000 Server with Traditional Chinese/English WIN95/98/ME/2000/XP
   
12. Office Hours:
  All service shall be carried out during office hours (09:00-17:00, Monday to Friday, 09:00-12:30, Saturday) excluding Sunday and public Holiday.
13. Confidentiality
  HKC and Customer shall keep secret, shall withhold from third parties and shall not use for any purpose other than for the scope of the Contract any and all confidential information.
14. Limitation of Liability:-
  The user agrees not to claim HKC for any loss arising from the faults or negligence of the staff or agent of HKC in the course of providing services to the user. HKC shall be under no liability whatsoever for any direct or indirect loss (including loss of profit) and/or expenses suffered by the user or liability to the third parties incurred by the user. In no event shall HKC's liability by operation of law, if any, be greater than the price you paid for the Software.
